These Terms of Service (the “Terms”) govern access to and use of the website stixflow.com, StixFlow accounts, the test environment, the API and the documentation. They form a contract between NEXORA SASU, RCS Bernay 102 944 022, 195 rue Pierre et Marie Curie, 27310 Bourg-Achard, France (“Nexora”) and the business that opens or uses an account (the “User”).
Live payments are governed by a separate contract. Accepting real payments requires business verification and the electronic signature of the Merchant Agreement. Where the Merchant Agreement applies, it prevails over these Terms.

2. Acceptance
2.1 By creating an Account, ticking the acceptance box or using the Platform, the User accepts these Terms and the documents they refer to: the Privacy Policy, the Cookie Policy and the list of prohibited and restricted businesses.
2.2 The person who accepts the Terms on behalf of a company warrants that they have authority to bind it.
2.3 Simply browsing the Site is subject to Articles 8, 12, 13 and 17 of these Terms and to the Legal notice.
3. Eligibility
3.1 The Platform is intended exclusively for businesses. The User declares that it acts solely for purposes relating to its trade, business, craft or profession, and not as a consumer.
3.2 The User must be validly registered, must not be subject to international sanctions and must not carry on an activity listed as prohibited.
3.3 Nexora may refuse to open an Account, or to give access to all or part of the Platform, without having to give reasons.
4. Account and security
4.1 The User provides accurate, complete and up-to-date information and keeps it up to date.
4.2 The User keeps its password, API keys and other credentials confidential. Any action carried out with its credentials is deemed carried out by the User. The User informs Nexora without delay of any loss, theft or unauthorised use at [email protected].
4.3 The User is responsible for the people to whom it gives access to its Account.
5. Sandbox
5.1 The Sandbox is provided free of charge so that the User can evaluate and integrate the Platform. It processes test data only. No real payment is made and no funds move.
5.2 The User must not enter real payment card data or real End Customer data in the Sandbox.
5.3 The Sandbox is provided as is, without any commitment as to availability, performance or data retention. Nexora may reset or delete Sandbox data at any time.
6. Access to production
6.1 Production API keys are issued only once the User’s business verification has been approved, the User has signed the Merchant Agreement and Nexora has countersigned it.
6.2 Nexora remains free to refuse access to production until it has countersigned the Merchant Agreement.
6.3 The prices shown on the Site are indicative, exclusive of taxes and exclusive of the fees charged by the PSP, card networks and banks. The fees that bind the parties are those set out in the Merchant Agreement.
7. Acceptable use
The User must not, and must not allow anyone to:
- use the Platform for an illegal purpose, or for a prohibited activity, or for a restricted activity without Nexora’s prior written approval;
- access or attempt to access another user’s data, or bypass any technical, security or verification measure;
- use production credentials in the Sandbox or test credentials in production;
- probe, scan or test the vulnerability of the Platform other than under the disclosure policy on the Security page;
- overload the Platform, or send automated requests beyond the limits stated in the documentation;
- copy, modify, decompile or reverse engineer the Platform, except as mandatory law allows;
- resell, sublicense or make the Platform available to third parties outside the features designed for that purpose, or use it to build a competing service;
- introduce malicious code, or use the Platform to send unsolicited communications;
- misrepresent its identity, its business or its relationship with Nexora.
8. Intellectual property
8.1 Nexora and its licensors own all rights in the Site and the Platform. Nothing in these Terms transfers any of those rights.
8.2 For the duration of these Terms, Nexora grants the User a personal, non-exclusive, non-assignable and non-transferable right to access and use the Platform for its own business needs, in accordance with the documentation.
8.3 The User keeps all rights in its content, trademarks and data. It grants Nexora the right to host, reproduce and display them to the extent needed to provide the Platform.
8.4 Where the User sends suggestions or feedback, Nexora may use them freely, without obligation or compensation.
9. Payment service providers and third parties
9.1 Nexora is a technical service provider. It is not a credit, payment or electronic money institution, does not provide payment services and at no time holds funds.
9.2 Payment services are provided to merchants directly by the PSP, under the PSP’s own terms. The PSP, card networks and banks may refuse, suspend or limit an account or a transaction under their own rules. Nexora is not liable for those decisions.
9.3 The Platform may interoperate with third-party services chosen by the User. Their use is subject to the terms of those third parties.
10. End Customers
10.1 A person who pays on a payment page or storefront powered by StixFlow buys from the merchant identified on that page. That merchant is the seller. Nexora is not the seller, reseller or agent of the merchant and is not a party to the sale.
10.2 The merchant’s own terms of sale, delivery terms, withdrawal and refund policy and privacy policy apply to the purchase. Questions about an order, a delivery or a refund must be addressed to the merchant.
10.3 Payment credentials are entered in fields controlled by the PSP. Nexora does not store full card numbers or security codes.
10.4 Nothing in these Terms limits the rights that mandatory consumer law gives an End Customer against the merchant.
11. Personal data
Nexora processes personal data as described in the Privacy Policy. Where Nexora processes End Customer data on behalf of a merchant, the Data Processing Agreement applies.
12. Availability and changes to the Platform
12.1 Nexora provides the Site and the Platform with due care, on a reasonable-efforts basis. They are provided as is. Nexora does not guarantee uninterrupted or error-free operation, a payment acceptance rate, or any level of revenue or conversion.
12.2 Nexora may carry out maintenance, and may change, add or withdraw features. Where a change materially reduces a feature used in production, Nexora informs the affected users in advance where reasonably possible.
12.3 The information published on the Site is general and does not constitute legal, tax, financial or regulatory advice.
13. Liability
13.1 Nexora is not liable for: the acts, omissions, decisions or failures of the PSP, card networks, banks or any third party; the User’s configuration or use of the Platform; the use of the User’s credentials; the User’s products, services, websites or commercial practices; or events outside its reasonable control.
13.2 Nexora is not liable for indirect loss, including loss of revenue, profit, customers, data, goodwill or reputation.
13.3 Nexora’s total liability under these Terms, on all grounds combined, is limited per contract year to the greater of (a) the fees actually paid by the User to Nexora for the Platform in the twelve (12) months before the event giving rise to the claim and (b) one hundred euros (EUR 100).
13.4 These limits do not apply in the event of gross negligence or wilful misconduct by Nexora, or where the law forbids them.
14. Indemnification
The User indemnifies Nexora and its affiliates, on first demand, against any claim, loss, penalty and cost (including reasonable legal fees) arising from its breach of these Terms or of the law, from its content, products or services, or from the use of its credentials.
15. Suspension and termination
15.1 The User may close its Account at any time by writing to [email protected], subject to the Merchant Agreement where one is in force.
15.2 Nexora may suspend or close an Account, in whole or in part, immediately and without compensation, in the event of a breach of these Terms, a risk to security or to third parties, suspected fraud, a request from an authority, the PSP or a card network, or prolonged inactivity of a Sandbox-only Account.
15.3 Nexora may otherwise terminate these Terms on thirty (30) days’ notice by email.
15.4 Articles 8, 13, 14, 16.2 and 17 survive the end of these Terms.
16. Changes to these Terms
16.1 Nexora may change these Terms. It notifies Users with an Account by email or in the dashboard at least thirty (30) days before the change takes effect, unless the change is required by law, by an authority, by the PSP or for security reasons, in which case it may apply immediately.
16.2 A User who refuses a change may close its Account before it takes effect. Continued use of the Platform after that date is acceptance. The date of the current version is shown at the top of this page.
17. Governing law and jurisdiction
17.1 These Terms are governed by French law.
17.2 The parties try to resolve any disagreement amicably for thirty (30) days from its notification.
17.3 Failing that, any dispute about the formation, validity, interpretation, performance or end of these Terms falls within the exclusive jurisdiction of the Commercial Court of Évreux (Tribunal de commerce d’Évreux, France), including for interim relief, multiple defendants or third-party claims.
17.4 This clause does not deprive a consumer of the protection of the mandatory provisions of the law of their country of residence, or of their right to bring proceedings before the courts that law designates.
18. Miscellaneous
18.1 Notices. Notices are validly given by email to the address of the Account and, for Nexora, to [email protected].
18.2 Evidence. The Platform’s logs and records are evidence between the parties of the operations carried out, until proven otherwise.
18.3 Force majeure. Neither party is liable for a failure caused by force majeure within the meaning of Article 1218 of the French Civil Code.
18.4 Assignment. The User may not assign these Terms without Nexora’s prior written consent. Nexora may assign them to an affiliate or a successor.
18.5 Severability and waiver. If a clause is held void, the others remain in force. Failure to exercise a right is not a waiver of it.
18.6 Language. These Terms are published in English and in French. In the event of a discrepancy, the English version prevails, except where mandatory law requires otherwise.
